By accessing or using Tidybill (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. The Service

Tidybill provides online invoicing software for freelancers and small businesses, including invoice and quote creation, recurring billing, time tracking, client portal access, and related features.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 16 years old. You agree to provide accurate, current information and to keep it updated.

You retain all rights to the data you create or upload to the Service (invoices, clients, time entries, logos, and similar). You grant us a limited licence to host, process, transmit, and display your content solely as needed to operate the Service for you. You are responsible for the accuracy and legality of your content.

7. Third-Party Services

The Service integrates with third parties such as Stripe (payments), Mailgun (email), and others. Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, or downtime.

8. Intellectual Property

The Tidybill name, logo, software, and underlying technology are owned by us. We grant you a limited, non-exclusive, non-transferable licence to use the Service while your subscription is active and in good standing. No other rights are granted.

9. Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

10. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or exemplary damages, or for lost profits, lost revenue, or lost or corrupted data, even if advised of the possibility. Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your breach of these Terms, or your violation of any law or third-party right.

12. Termination

You may terminate your account at any time. We may suspend or terminate access for violations of these Terms or for non-payment. On termination, you may export your data for up to 30 days, after which it may be permanently deleted.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction over any disputes arising out of or related to these Terms or the Service.

14. Changes

We may update these Terms from time to time. The effective date at the top reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
